Welcome to LiveBuzz Studio. These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“you” or “Client”) and LiveBuzz Studio Ltd (“we”, “us”, or “our”), governing your use of our services, websites, and platforms, including those provided as a TikTok Shop Partner (TSP), TikTok Affiliate Partner (TAP), Creator Agency Partner (CAP), marketing agency, and official TikTok Live Agency.

By accessing or using our websites, services, programs, or making payment for any of our offerings, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.

1. Scope of Services

LiveBuzz Studio provides a wide range of services to brands and content creators including, but not limited to:

• Marketing and Advertising Services (e.g., TikTok Ads, email marketing, lead generation, influencer campaigns)
• Platform Management & Integration (e.g., TikTok Shop setup, e-commerce integration, compliance, analytics)
• Content Production (e.g., shoppable short-form video creation, editing, scripting, UGC sourcing)
• Affiliate and Creator Programs (e.g., onboarding, training, affiliate program facilitation)
• Educational Services (e.g., digital courses, workshops, onboarding material)
• Creator Incubation and Management under our Creator Network / TikTok Live Agency

LiveBuzz Studio reserves the right to modify, suspend, or discontinue any aspect of the services at any time, without prior notice.

2. Eligibility

You must be at least 18 years of age and legally authorized to enter into binding contracts in your jurisdiction to use our services. If you are entering into this agreement on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

3. Non-Refundable Policy

All payments made to LiveBuzz Studio are strictly non-refundable. By using our services, you acknowledge and agree that:

• We do not provide refunds under any circumstance, including dissatisfaction with results, early termination, or unused portions of service periods.
• Chargebacks or payment disputes initiated by the client will result in immediate termination of all services, revocation of licenses or accesses granted, and potential legal action.
• If you experience any issue with our service, you agree to contact us directly at support@livebuzzstudio.com to resolve the matter before taking any action with your payment provider.

4. Payments & Processing

You agree to pay all fees associated with the services as specified at the time of order or agreed upon in writing. Payment terms:

• Fees must be paid in advance unless otherwise agreed in writing.
• Payments are processed via third-party payment providers (e.g., Stripe, Paddle, FastSpring). You agree to also be bound by their terms and conditions.
• We reserve the right to suspend services for overdue payments or failed transactions.

5. Service Access and Use

• You may not use our services for any unlawful purpose or in a way that violates the rights of others.
• You are responsible for maintaining the confidentiality of any access credentials or private links provided to you.
• You may not resell, sublicense, or share access to our platforms or content without prior written consent.

6. Intellectual Property

All materials provided through LiveBuzz Studio, including but not limited to videos, scripts, written content, visual assets, software, code, training materials, templates, and other digital or creative assets (collectively, “Content”), are the intellectual property of LiveBuzz Studio Ltd or its licensors.

You agree not to:

• Reproduce, distribute, sublicense, or publicly display any Content without prior written permission.
• Claim ownership of any proprietary material provided by us.
• Use our brand, logo, likeness, or materials in any misleading or unauthorized manner.

We reserve the right to revoke your access to any content at our discretion if these Terms are violated.

7. Compliance with Platform and Legal Standards

You are solely responsible for ensuring that your use of our services complies with:

• Applicable local, national, and international laws
• TikTok’s platform rules, terms of service, and community guidelines
• Advertising standards, data protection laws, intellectual property rights, and e-commerce regulations

LiveBuzz Studio does not assume responsibility for any violations committed by you. We may suspend or terminate your access if we believe your actions put our business or platform relationships at risk.

8. Warranties Disclaimer

LiveBuzz Studio provides all services and materials “as is” and “as available” without warranties of any kind, express or implied.

We do not warrant that:

• Services will be error-free or uninterrupted
• Results or outcomes will meet your expectations
• Content or communications are free from viruses or harmful components

All risks associated with your use of our services lie with you.

9. Limitation of Liability

To the maximum extent permitted by law:

• LiveBuzz Studio is not liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, business interruption, reputational harm, or data loss, even if advised of the possibility.
• Our total liability under these Terms will not exceed the amount paid by you for the specific services in the 3-month period preceding the claim.

If you are dissatisfied with any part of the service, your sole remedy is to discontinue using our services.

10. Indemnification

You agree to indemnify, defend, and hold harmless LiveBuzz Studio, its affiliates, officers, directors, employees, contractors, and partners from any and all claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from:

• Your use or misuse of our services
• Violation of these Terms
• Any third-party claim resulting from your actions or breach of agreement

You agree to cooperate as reasonably required in our defense of any such claim.

11. Termination

We reserve the right to terminate or suspend access to any of our services, content, or programs at any time without notice if you breach these Terms, act unlawfully, or cause harm to our business, platform relationships, or reputation.

Termination may include:

• Revocation of account or course access
• Removal from affiliate or creator programs
• Suspension of live services and campaigns

You may terminate your use of our services by notifying us in writing. However, all paid fees are non-refundable and any outstanding balances will remain due.

12. Governing Law & Jurisdiction

These Terms and any related disputes shall be governed by and interpreted in accordance with the laws of England and Wales, without regard to conflict of laws principles.

You agree that any dispute or legal proceeding shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Dispute Resolution

Before initiating legal action, you agree to contact us to attempt to resolve any dispute informally. If a resolution cannot be reached within 30 days, either party may pursue legal remedies in accordance with the Governing Law section above.

14. Force Majeure

We shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, internet or hosting failures, governmental restrictions, or labor disputes.

15. Changes to Terms

We may update these Terms at any time. When we do, we will revise the “Last Updated” date and post the updated version on our website.

Continued use of our services after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
